补偿贸易协议compensation trade contract
本协议于2001年7月3日由中国纺织品进出口公司北京分公司（以下称甲方），凯蒂公司（以下简称乙方）和北京衬衫厂（以下简称丙方）签订。三方同意按下列条款条件进行补偿贸易。The contract is signed on July 3rd, 2001 involving China Textiles Import and Export Corporation Beijing Branch(hereinafter referred to party A), Kitty Corporation(hereinafter referred to party B)and Beijing Shirt Factory(hereinafter referred to party C).一． 经与北京衬衫厂友好协商，甲方同意自2002年1月份起在北京衬衫厂每月为乙方生产女衬衫2，000-2，500打，或是每年生产24，000-30，000打。上述女衬衫由丙方使用乙方提供的机器为乙方生产。乙方保证每月大致按上述数量向甲方下定单。在2002年至2006年期间甲方优先安排生产乙方定购的上述女衬衫，条件是乙方提前半年通知甲方所需数量，否则甲方将不为乙方保留生产能力。
By friendly consultation with Beijing Shirt Factory, party A agrees to produce 2,000-2,500 dozens of lady’s shirts per month for it, or produce 24,000-30,000 dozens per year.Aforementioned lady’s shirts are produced by part C with the machines of party B.Party B guarantees roughly a monthly order to party A according to the above mentioned number.On the condition that party B should inform party A the need half a year earlier, Party A shall prioritize the order on blouses of party B during the year of 2002 to 2006, or party A shall not keep the production capacity for party B.二． 为提高产品质量，乙方同意提供给甲方机器91台（详见附表）计总值港币669，300元，运费外加。甲方在2001年6月底以前以乙方应付工缴费补偿该91台机器的费用，直至机器本身价值港币669，300元连同运费和…..%年利的利息全部偿付。In order to increase quality, party B agrees to provide 91 machines(for details see the attached list)valued at HK $669 on credit basis, and the freight charges separately.Party A shall compensate party B for the total value of 91 machines amounting to HK $ 669,300 plus freight and at …% per annum interest by the end of 2001, June with the proceeds of the finished products delivered to party B.三． 乙方保证其提供的机器符合丙方的要求和规格。如机器的性能有问题，甲方有权按Juki所出保证书所列责任向乙方索赔损失。
Party B guarantees that the machines to be supplied are in accordance with party C’s requirements and specifications.If there is any defect in the performance of machines, party A shall be entitled to laying a claim against party B for loes sustained according to the listed responsibilities of Juki’s letter of Guarantee.四． 乙方应通知Juki派人监督安装和修理上述机器。Party B should inform Juki to send technicians to supervise installation and repairs the machines.五． 三方同意开头的10，000打女衬衫按CMT（剪裁，缝制，镶边）条款生产，其余按正常条款生产。乙方有权因会计目的需要而查帐。甲方同意代乙方和其他有关方面给货物保险，可以在甲方经营期间因匹头损坏或丢失而造成损失时得到补偿。The three parties agree that the first 10,000 dozen blouses shall be made under CMT terms(cut, make, trim)and the rest orders under normal terms.Party B has the right of auditing for the need of accounting.Party A agree to insure the goods for Party B and other relative parties, and then the compensations can be got because of the damage or lo of piece goods during the Party A operating.六． 价格和其他条款在签订的每一个合同中分别详细规定。Prices and other terms shall be stipulated in detail in each contract.七． 与本协议有关或是在执行本协议中产生的申诉或争议应友好协商解决。Any complaints or disputes in connection with this agreement or the execution thereof shall be settled in friendly negotiation.八． 本协议一经三方签署立即生效。本协议中关于购置设备资金的条款有效期为一年整，即从2002年1月至2002年12月止，而其他条款的有效期则为五年，即自2002年1月起至2006年12月止。本协议经有关方面协商同意后可续延一段时期。The agreement shall be executive as soon as it is signed by three parties.The validity of terms on funds purchasing machines is one year(from 2002, Jan.to 2002, Dec.), and the validity of other terms is 5 years(from 2002, Jan.to 2006, Dec.).This agreement is renewable for a further period of time upon mutual consent after consultation among the parties.
