苏丹哈纳贸易投资有限公司和中国莱芜市海志建安有限公司，根据苏丹法律和有关法规的规定，本着平等互利的原则，经双方坦诚友好协商，就利用各自优势合作开发铬铁矿采矿、选矿项目，达成如下合同条款.Under Sudanese law and relevant regulations, as per the principle of equality and mutual benefit, after friendly and frank negotiations, the two parts Haneer Sudan and Chinese Trade and Investment Co., Ltd.And Haizhi Construction Co., Ltd.of Laiwu City hereby agreed to the following terms of contract to cooperate to develop chromite mining, mineral proceing projects.苏丹哈纳贸易投资有限公司（以下简称甲方）在苏丹喀土穆登记注册，注册资金60万美元，其法定地址在喀土穆。法定代表人：姓名：塔耶；职务：董事长；国籍：苏丹。
Sudan Haneer Trade and Investment Co., Ltd.(hereinafter referred to as Party A)registered in Khartoum, Sudan, with a registered capital of $ 600,000, its legal addre in Khartoum.Legal representative: Name: Taye;Title: Chairman;Nationality: Sudan.中国莱芜市海志建安有限公司（以下简称乙方），在中国登记注册，注册资金709万元人民币，其法定地址在山东省莱芜市高新区鹏泉街道办事处后宋村。法定代表人：姓名：亓秀峰；职务：董事长；国籍：中国。
Haizhi Construction Co., Ltd.of Laiwu City(hereinafter referred to as Party B), registered in China,with a registered capital of 7.09 million yuan, and its legal addre is in Laiwu City, Shandong Province High-tech Zone Housong-1-
Village, Pengquan district.Legal representative: Name: Qi Xiu-Feng;Title: Chairman;Nationality: China.一、双方协商共同在苏丹组成合资公司，合资公司投资总额为1204万美元，其中：甲方投资204万美元，乙方投资1000万美元。甲方以矿区土地，前期的资金以及工作成果投入，并继续协调苏丹境内各方关系；乙方以开发技术、资金和经营管理投入。
I.Both Parties shared a joint venture in Sudan, the joint venture total investment of $ 12,040,000, investment of Party A is $ 2,040,000 , Party B invested $ 10,000,000.Party to mine the land, pre-funding and the work input, and continue to coordinate the relationship between the parties in Sudan;B to develop technical, financial and management inputs.二、双方合作以合资公司名义开发铬铁矿业。
II.Both Parties cooperate by a joint venture to develop chromite industry.三、甲方投入的资金204万美元为限，首期资金投入为100万美元，（其中包括公司注册资本和手续费用、办理5个采矿权牌照的费用、以及15%的土地税金）。开采铬矿石矿点修路费用等由乙方投入；乙方投入的资金主要为采矿中的探矿工程、所需的设备、人员工资和协调当地关系中少量的补偿费用，以达到正常开采及公司能正常运营；乙方前期投入的资金最大不超过800万美元。
III.The party A'scapital investment is limited to $ 2,04 million, the initial investment of which is 1 million,(including fees for registering and the cost for five mining license fees, and 15% of the land tax.)Road construction costs for mining chrome ore mine site will be paid by Party B;Funds invested form part B is mainly for the mining exploration project, its neceary equipment, staff wages and the coordination of local relations, and a small amount of compensationcost to achieve the normal mining and company to resume normal operation;Part B“s maximum initial investment of funds is not exceeding $8 millions.四、合资公司股权比例：甲方17%、乙方83%。
IV.The Shares allocation of the joint venture: 17% for Party A,83% for Party B.五、投资返还方式：公司产生利润后，按照先返还各方投资的原则，利润的70%用于返还投资，利润的30%用于分配。如果扩大再生产资金安排由董事会开会决定。
V.Investment return: When the Company sees profits, as per the principle of returning the-2-
investment first, 70% of the profit is for the return of investment, 30% of the profits for distribution.The decision to arrange funds to expand the production should be made by the board meetings.六、公司管理：A：董事会成员为五人，甲方两人，乙方三人，甲方担任董事长，乙方担任总经理；B:财务管理：甲方出一名出纳，乙方出一名会计。
VI.corporate management:
A: Number of Board members is five, two of whom are from Party A,three from Part B,The Chairman of Board is from Part A, while the general manager is from Part B.B.Financial Management: Party A arranges one cashier while Part B arranges an accountant.七、矿床开发中的三种可能：
VII The three poibilities in the proce of the deposit exploitation :
1、矿体规模储量能够达到规模开采，公司继续运营，以产品销售收入支撑公司的运营和发展。
1, The ore reserves can achieve the scale of ore mining, which can support the company to continue operations and further devolpments by selling products.2、探矿探明有一定的储量，但不适宜大规模开采，以产品销售收入公司难以支撑继续发展，以产品销售收入来补偿各方损失。补偿损失的比例为双方股权结构比例。2, There is a certain exploration of proven reserves, but it is not suitable for large-scale mining, The running and development of company can not supported and sustained by the product sales revenue to continue development, in this case, the product sales revenues is to compensate for all loes.Compensationratio for the loes is the ratio of the shares both parties hold respectively.3、探矿矿体无储量，不能够继续开采时，公司停止运营，协议终止，其中对于乙方投入资金购置的设备享有优先补偿的权利。
3, No reserves of ore prospecting, and the mining can not continue, in this case, the company cease the operations, the agreement stops.Priority should be given to compensate for the loses for the found to purchase equipments.八、合资公司产品按照市场价格在同等条件下优先由甲方购买。VIII, Priority should be given to Part A to purchase the company product under the same conditions.九、经甲、乙双方协商，公司合作期限为20年。
IX Both parties agreed that the time span of the cooperation is 20 years.十、其他:
X.Others:
1.双方约定，对于其他矿床的开发，由双方继续开展工作，待条件成熟时由公司组织开采，具体运作方式另行协商确定。
1.It is agreed that Both parties will continue to develop the other deposits when it is ready,the specific pattern of operation will then be negociated.2.莱芜市海志建安有限公司由委托代理人周长志先生签署合同，并代表该公司行使出资人权利，办理合资公司的相关手续。
2.Mr.Changzhi Zhou the attorney of Laiwu Haizhi construction CO., LTD is committed to sign the contract and He will claim the right on behalf of the investors and transact the relevant procedures for the joint venture.甲方签字：
