【中文摘要】新公司法放松了对股东出资形式的要求,以概括式规定了股东出资方式,股权、债权等也得到允许可以出资,同时,行政法规以明确的罗列方式禁止股东用劳务出资。禁止劳务出资与新公司法鼓励投资的理念相违背,也引起了公司法学界广泛的讨论。允许劳务出资,让劳务出资者和物质资本出资者共享公司利润是公司能够稳定发展的必然要求,也是人力资本在公司运营中的价值体现。本文分为四部分来讨论我国股东劳务出资的必要性和可行性及其风险防范的制度设计。第一部分介绍了股东劳务出资的基础理论。笔者对劳务以及其与劳动力、人力资本和技艺等处在同一意义层面来概括;对劳务出资的定义以及其产生、发展以及自身的特征进行介绍。阐述人力资本理论的发展过程及重大意义。另外,还介绍了在国际上股东劳务出资的类型,具体分为许可类型、禁止类型和区别对待类型等。第二部分介绍了我国法律禁止劳务出资的原因。笔者从公司资本制度的概念和意义,公司资本三原则来进行分析传统的公司资本制度理念和功能,法律要求股东的出资形式以及行政法规禁止劳务出资,接着从公司资本的担保功能和劳务不符合股东出资形式要求来分析劳务被禁止出资的原因所在。第三部分介绍了我国存在劳务出资的几种观点。具体介绍了干股、职工持股制度和股票期权制度,分析了它们存在的原因和价值以及所存在的法律问题,并比较分析了它们与劳务出资的相互关系。第四部分介绍了我国劳务出资及其风险防御的制度设计。
对人力资本重要性和人力资本取得公司治理主体资格的正当性进行
了分析。对公司注册资本的担保功能弱化和公司的资产真正起担保功
能的分析;对以其他无形资产出资不能保证公司资本的充实来进行分
析,允许劳务出资是符合我国经济发展要求的。在劳务出资可行性上,分析了劳务出资的适格性,劳务出资的范围,劳务出资的形式和交付,劳务出资比例和评估,劳务出资股东的权利义务以及劳务出资的风险
防御等方面来介绍了劳务出资的可行。结语介绍了我国股东劳务出资
是可行的,只是我们需要设计一系列合理完善的配套制度来帮助劳务
出资运行下去,这也是笔者在劳务出资制度上所进行的一点点探索。
【英文摘要】The new corporation law extends the terms for
the forms of shareholders’ investment and broadly provides that stock rights and creditor’s rights are agreed to be
invested.While administrative laws and regulations prohibit shareholders invest by labour service efinitely,which is
against to the idea of the new corporation law.It caused
extensive discuion in the field of corporation
jurisprudence;It is the inevitable requirement to ensure the stable development of corporation by sharing the benefit of corporation between the labour service contributeors and
material capital investors,with allowing labour service
investment.This paper focuses on the neceity and feasibility of shareholder labour service investment with four parts.It
introduces the general views of shareholders’labour service investment in the first part.Its meaning has been summarized by putting labour service in the same level with labour,human capital.and skill,and the definition, production, development, and its own characteristic have been analysed.It introduces the proce and the importance of human capital Besides,it
introduces the styles of shareholders’ labour service
distribution internationally,which can be claified to
permitting,prohibiting,and discriminating.It introduces the reasons of the prohibition for the labour service by law in China in the second part.The traditional corporation capital rules’ idea and function has been analysed by the principles of the concept and meaning of corporation capital rules,and corporation capital.The investment styles by shareholders are required in law and the administrative laws and regulations prohibit labour service.And the reasons of prohibiting labour service investment are analysed according to the guarantee
function of corporation capital and labour service mismatching shareholders’ investment styles.It introduces the several
views of labour service in China in the third part.It recommends dry share,worker holding share regulation and stock option
regulation,and analyses the reasons and value as well as the
law problem.It introduces the feasibility of shareholder
labour service investment and the system design of avoiding of risk in the fourth part.It analyses the importance of human capital and its qualification to run a corporation.It analyses the weakne of the guarantee function of corporation
registering capital and only the corporation capital can take the guarantee function。It also discues that the other
intangible aets cannot ensure the repletion of corporation capital,so it is fit the Chinese economic development to allow labour service investment.It analyses the fitne of labour service investment,the already exsisting labour service
investment,and the styles and payment of labour service
investment,the ratio of investments and evaluation,and the
rights and obligations of shareholders and avoiding of risk for labour service investment,which leads to the feasibility of labour service investment.The paper summarizes it is feasible for labour service investment,which needs the reasonable
aorting regulation to help labour service investment
