外商投资企业变更登记提交材料规范
一、《外资公司登记（备案）申请书》/《非公司外资企业登记（备案）申请书》。
二、《指定代表或者共同委托代理人授权委托书》。
三、依法作出的决议或决定。
四、法定代表人签署的章程修正案或修改后的章程（非公司的外商投资企业应提交合同、章程的修改协议）。
五、变更事项相关证明文件。
（一）变更名称的，应提交登记机关颁发的《外商投资企业名称（企业集团）变更核准通知书》。
（二）变更住所的，提交变更后住所的合法使用证明。
（三）变更法定代表人的，根据公司章程的规定提交原任法定代表人的免职证明和新任法定代表人的任职证明及身份证明复印件。
（四）减少注册资本的，提交刊登减资公告的报纸报样及债务清偿报告或债务担保证明。
（五）增加注册资本的，股份有限公司以公开发行新股方式或者上市公司以非公开发行新股方式增加注册资本的，还应当提交国务院证券监督管理机构的核准文件。
（六）变更经营范围的，企业申请登记的经营范围中有法律、行政法规和国务院决定规定必须在登记前报经批准的项目，应提交相应的前置审批文件或证件。
（七）变更股东的，股权转让协议、依法经其他投资方同意转让的声明、股权受让方的主体资格证明以及外商投资企业法律文件送达授权委托书。如经人民法院依法裁定划转股权的，应当提交人民法院的裁定书。
（八）变更投资者名称或姓名的，应提交法定登记机关出具的准予投资者名称变更的证明文件。
（九）以上各项涉及其他登记事项变更的，应当同时申请变更登记，按相应的提交材料规范提交相应的材料。
六、其他有关文件。
七、营业执照复印件。

8．Documentary evidence of approval for the name modification of investors iued by legal registration authority shall be submitted to modify the title or name of investors;9．Modification registration shall be applied meanwhile for the above-mentioned matters involving in the registration of other matters and relevant materials shall be submitted according to corresponding specification of submitting materials;VI Other relevant documents;VII Copy of busine license.
