Quality Aurance Certificate
(“Company”)(“Materials”)sold or supplied and /or to be sold or supplied to XX Technology Group(refer to the below note).Warrants that:
1.All the materials provided by Company should be subject to the general quality principles, which
shall be in accordance with Quality Warranty agreed and/or to be agreed by Company andFoxconn Technology Group
2.All the materials provided by Company should comply with the design, the stuff and the proce
ruled by Quality Warranty.3.All the materials shall be provided with the quality test reports attached, which shall conform to
Quality Warranty.4.Upon Foxconn Technology Group’s formal confirmation, Company may modify the elements,methodologies, directions of products, sub-supplier(s)or original manufacturing sites and obtain approvals from the institutes concerned for the modified materials.5.As for the materials which are defective or not meet the requirements of Quality Warranty, XX
Technology Group may, at its discretions
(a)Ask Company to recall and replace the materials and compensate for the costs
caused.(b)Reducing the account of the payment if Foxconn Technology Group utilizes the
materials.(c)Ask Company to refund the payment plus interests and bear penalty at 0.75% of the
payment per month
(d)Cancel or terminate the purchase agreements or orders for the materials.(e)The Company shall be responsible for the direct and indirect loes caused by the materials
6.XX Technology Group may set off the costs, expenses or loes from Company’s payments and
