所谓独立保函，其实是狭义的独立保证。国际商会《见索即付担保统一规则》第2条将独立保证定义为：“见索即付保证，不管其如何命名，是指由银行、保险公司或其他组织或个人以书面形式出具的，表示只要凭付款要求声明或符合担保文件规定就可以从他那里获得付款的保证、担保或其他付款承诺。”在我国，独立保证在对外经济交往中被广泛使用。尽管就立法层面而言，尚缺乏对独立保函全面系统的规定，但司法实践中，已经出现了不少有关独立保函的案件。其做法可以归结为：独立保函只适用于涉外商事海事活动，而不能适用于国内保证。
