附 加 条 款:
1.被 委 托 方 应 通 过 闭 路 电 视 系 统 在 指 定 收 视 点 播 放 完 整 的 CNBC ASIA 节 目，包 括 但 不 限 于 节 目 原 有 的 广 告 和 推 销 材 料、版 权 告 协 助 和 制 作 人 名 单，不 得 变 动 或 修 改，但 可 以 为 保 证 节 目 符 合 中 国 有 关 法 律 和 法 规 的 要 求 而 进 行 必 要 的 删 除。CNBC ASIA对 其 节 目 以 及 其 中 选 用 的 全 部 节 目 保 留 全 部 权 利，包 括 以 任 何 每 天 在 全 世 界 使 用 这 些 节 目 的 权 利。被 委 托 方 不 得 在 指 定 收 视 点 以 外 的 任 何 地 方 以 非 闭 路 电 视 方 式 播 放 或 允 许 他 方 播 放 CNBC ASIA 节 目。
2.对 于 CNBC ASIA 节 目 发 生 的 延 误、先 占 或 其 他 故 障，如 果 是 由 CNBC ASIA和/ 或 委 托 方 无 法 控 制 的 原 因 所 致 的，不 由 CNBC ASIA和 委 托 方 负 责。被 委 托 方 违 反 本 合 同 的，由 此 产 生 的 任 何 索 赔、责 任、费 用 和 支出 一 概 由 被 委 托 方 负 责，并 应 使 CNBC ASIA和 委 托 方 不 受 任 何 损 害。
3.本协议自协议规定之日期开始生效，有效期为一年，在一年有效期结束前，除非一方于有效期结束前一个月书面通知对方终止协议，本协议将自动按年度续约。如 果 委托方和被 委 托 方 违 反 本 合 同 书，并 且 在 收 到 违 约 通 知(通 知 应明 确 指 出 违 约 之 处)后 七 天 内 未 作 出 补 救，则 任何一方可 在 提 前 至少 三十 天 向 其 发 出 书 面 通 知 后 随 时 终 止 本 合 同 书。CNBC ASIA 与 委 托方 之 间 的 协 议 期 满 或 终 止 时，本 转 播 授 权 协 议 书 即 自 动 终 止。
4.被 委 托 方 签 署 本 合 同 书 后，应 即 支 付 上 述 规 定 款 项，不 得 扣 除、预 提 或 充 抵
任 何 金 额。因 本 合 同 书 或 播 放 CNBC ASIA节 目 而 被 中 国 政 府 或 其 任 何 部 门 征 收 的 税 费，以 及 其 他 有 关 费 用，一 概 由 被 委 托 方 负 责 支 付。
5．委 托 方 未 经 CNBC ASIA 和 委 托 方 事 先 书 面 同 意 不 得 转 让 其 在 本 合 同 书 项 下 的任 何 权 利 或 义 务。
5.本 合 同 书 载 入 双 方 就 本 合 同 书 议 题 达 成 的 全 部 协 议，未 经 双 方 签 署 书 面 文 件，不 得 修 改。

Supplementary Clauses: 1.Authorized Party shall exhibit NBC’s program service known as “CNBC ASIA” via the closed circuit television system at the Authorized Premises, in its entirety, including without limitation, all advertising and promotion material, copyright notices, credits and billings, as and when transmitted by CNBC ASIA, without alteration or amendment other than deletions made to ensure that CNBC ASIA complies with all applicable PRC laws and regulations.CNBC ASIA retains all rights for use in all media.Authorized Party shall not exhibit, or authorize any other party to exhibit CNBC ASIA anywhere other than at the Authorized Premises or via any media other than closed circuit television.2.CNBC ASIA and Authorizing Party shall not be responsible for any delays, preemptions or other failure to provide CNBC ASIA where such delays, preemptions or failures are due to any cause(s)beyond the control of CNBC ASIA and/or Authorizing Party.Authorized Party shall indemnify and hold CNBC ASIA and Authorizing Party harmle against any claims, liabilities, costs and expenses arising out of any breach by Authorized Party of this agreement.3.This agreement shall commence on the date hereof and shall continue in force for a period of one year thereafter.At the end of such one-year period, this agreement shall be automatically renewed on an annual basis unle and until terminated by either party giving 30 days prior written notice to the end of each renewed one-year period.Either parties may terminate this agreement effective at any time by giving the other at least 30 days’ prior written notice, if the other has breached this agreement and such breach(which shall be specified in such notice)is not cured within 7 days of such notice.This agreement shall automatically terminate on the termination or expiration of the agreement between CNBC ASIA and the Authorizing Party.4.Payment by Authorized Party of the amount specified above shall be made without any deduction, withholding or set-off whatsoever upon signing this agreement Authorized Party shall be responsible for the payment of all taxes imposed by the PRC or any political subdivision thereof in relation to this agreement or the exhibition of CNBC ASIA by Authorized Party, as well as any other applicable duties or charges related thereto.5.Authorized Party may not aign any rights or obligations under this agreement without the prior written consent of CNBC Asia and the Authorizing Party.6.This agreement contains the entire agreement between of the parties with regard to the matters contained herein, and may not be amended except in writing signed by Authorized Party, Authorizing Party and CNBC Asia.The Authorizing Party: The Authorized Party:
